AI Governance Lite Terms

These terms govern Customer’s free use of the limited version of Adaptive’s AI Governance product (“AI Governance Lite” or the “Product”). By checking the agreement box and activating the Product, the organization identified in the acceptance process (“Customer”) agrees to these terms, and the person accepting confirms they are authorized to bind Customer. This agreement is between Customer and TeamGuard AI, Inc. d/b/a Adaptive Security (“Adaptive”) and takes effect on Customer’s acceptance date (“Effective Date”).
- Exhibit C and the MSA Apply. Adaptive’s current Master Subscription Agreement, including Exhibit C (AI Governance Products), available at https://www.adaptivesecurity.com/msa in the version published on the Effective Date (“MSA”), is incorporated into these terms (together, the “AI Governance Lite Terms” or “Terms”). The AI Governance Lite Terms apply solely to Customer’s use of the Product. Customer accepts the MSA solely for the Product by accepting these Terms. This acceptance satisfies any Order Form, signature, or purchase requirement necessary to activate free access. For the Product, the MSA’s Effective Date is the Effective Date above, its Term is the period described in Section 3, and references to the Platform or services apply solely to the Product. Capitalized terms not defined here have the meanings in the MSA. These terms control over conflicting provisions of the MSA; otherwise, its order of precedence applies. Any existing agreement between Customer and Adaptive continues to govern Customer’s other products and services and is not amended or replaced by acceptance of these Terms. An executed data processing addendum that covers the Product continues to govern that processing; otherwise, the standard DPA incorporated under Section 4.2 of the MSA applies where required. Notwithstanding Section 13.7 of the MSA, Adaptive may amend these Terms for the Product by posting a revised version and giving notice of material changes.
- What AI Governance Lite Includes. The Product consists of the limited AI Governance features, views, and data that Adaptive makes available from time to time, as described in the Product or Documentation (the “Features”). Features may show only a subset of the information collected or generated, including limited aggregate, employee-level, or application-level details, and may mask or withhold other information. The Product may collect the same Device Data as described in Exhibit C of the MSA and the Documentation. Restrictions on displayed information do not limit the underlying collection or processing of Device Data described in Exhibit C and the Documentation. Customer will not circumvent, attempt to access, reconstruct, or de-obscure information withheld from the Features. Adaptive may, at any time and without liability, modify, limit, mask, suspend, or discontinue any Feature or the Product; impose usage or seat limits; or move a Feature to a paid plan. Adaptive will provide notice of discontinuation through the Product or by email where practicable. No fees, overage charges, or automatic paid subscription apply to the Product, notwithstanding the MSA. Paid AI Governance access requires Customer’s agreement to fees under a mutually executed Order Form.
- Term. Customer’s use of the Product is at-will and continues until the earliest of Customer disabling the Product or ending access by notice, Adaptive discontinuing the Product or ending Customer’s access, expiration or termination of Customer’s last active paid subscription to another Adaptive product, or commencement of paid AI Governance access replacing the Product under an Order Form. Adaptive may expressly authorize continued AI Governance Lite access after Customer’s other paid subscriptions end in writing. Neither party is obligated to enter into an Order Form. Adaptive may suspend access, with notice where practicable, if Customer’s use violates these terms or applicable law or presents a security or legal risk. Customer must cease use and disable or remove the Product’s extension and agent when access ends. The deletion period in Section 3 of Exhibit C runs from the end of AI Governance Lite access, regardless of Customer’s continued use of other Adaptive products, subject to the exceptions in Section 5 of Exhibit C and any applicable DPA. If Customer moves directly from AI Governance Lite to paid AI Governance, available Device Data, configurations, and history may carry forward, and that transition does not trigger deletion. The applicable Order Form must identify the agreement and product terms governing paid AI Governance; these free-access terms do not govern paid access.
- No Warranties Support or Liability. THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AND WITHOUT ANY SERVICE LEVEL, AVAILABILITY COMMITMENT, OR SUPPORT, NOTWITHSTANDING ANY CONTRARY PROVISION OF THE MSA. SECTION 2.9 (EARLY ACCESS FEATURES) OF THE MSA APPLIES TO BETA FEATURES INCLUDED IN THE PRODUCT, AND SECTION 7 (PRODUCT DISCLAIMER) OF EXHIBIT C APPLIES IN FULL. TO THE MAXIMUM EXTENT PERMITTED BY LAW AND NOTWITHSTANDING THE MSA, ADAPTIVE HAS NO LIABILITY OR INDEMNIFICATION OBLIGATION ARISING OUT OF OR RELATING TO THE PRODUCT OR THESE TERMS. NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR LOST PROFITS. THESE LIMITS DO NOT APPLY TO CUSTOMER’S BREACH OF SECTION 2 OF THESE TERMS OR SECTION 6 OF EXHIBIT C, OR CUSTOMER’S INDEMNIFICATION OBLIGATIONS UNDER SECTION 8 OF EXHIBIT C OR SECTION 9.2 OF THE MSA. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED. ADAPTIVE’S EXPRESS CONFIDENTIALITY, SECURITY, AND DATA-PROTECTION OBLIGATIONS UNDER THE MSA, EXHIBIT C, AND ANY APPLICABLE DPA CONTINUE TO APPLY TO THE PRODUCT, BUT ADAPTIVE’S LIABILITY FOR THEM REMAINS SUBJECT TO THIS SECTION EXCEPT TO THE EXTENT APPLICABLE LAW PROVIDES OTHERWISE. THE FREE-ACCESS DISCLAIMERS AND LIABILITY TERMS DO NOT APPLY TO CUSTOMER’S OTHER PRODUCTS OR PAID AI GOVERNANCE ACCESS.
- General. These Terms, including the incorporated MSA and applicable DPA, constitute the entire agreement for the Product. Adaptive may use feedback about the Product as permitted under the MSA. If any part of these terms is unenforceable, the rest remains in effect. Section 2 (restrictions), Sections 4 and 5, the surviving portions of Exhibit C, and the surviving provisions of the MSA continue to apply after access ends to the extent necessary to give them effect.
